Terms of Service

The legal agreement that governs your access to and use of FinancialPress.

1. Agreement to These Terms

These Terms of Service (the “Terms”) govern your access to and use of the websites, applications, application programming interfaces, and related services operated by FinPress Communications Inc. (“FinancialPress,” the “Company,” “we,” “us,” or “our”). The websites, applications, interfaces, and services are referred to collectively as the “Platform” or the “Services.”

By accessing the Platform, creating an account, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Platform. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to both you and that organization.

These Terms incorporate by reference the FinancialPress Privacy Policy, Community Guidelines, Acceptable Use Policy, Content Policy, Moderation and Enforcement Policy, Appeals Policy, Copyright and Intellectual Property Policy, Platform Disclaimers, and Third-Party Advertising and Sponsored Content Disclosure (together, the “Policies”). Where a Policy addresses a subject in greater detail than these Terms, the Policy governs that subject, except that Sections 14 through 21 of these Terms control in the event of a direct conflict.

2. What FinancialPress Is and Is Not

FinancialPress is a financial intelligence and reputation platform. Members publish financial research, market analysis, investment opinions, technical analysis, news commentary, and related professional discussion. The Platform organizes that material through a credibility-weighted system in which visibility is earned through demonstrated reputation rather than popularity or promotional spend.

FinancialPress is not a broker, dealer, broker-dealer, investment adviser, investment company, exchange, alternative trading system, or financial institution. We do not execute, facilitate, or route securities transactions. We do not provide investment, legal, tax, or accounting advice. We do not recommend securities, solicit transactions, manage assets, or offer personalized financial advice of any kind. Content made available through the Platform is provided by Users and by third parties for informational purposes only. Your decisions are your own. The disclaimers in Section 14 and in the Platform Disclaimers apply to your entire use of the Services.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Platform. The Services are not directed to children, and we do not knowingly permit anyone under 18 to create an account or contribute Content.

You may not use the Platform if you are barred from doing so under the laws of the United States or any other applicable jurisdiction, including any jurisdiction subject to a comprehensive embargo administered by the U.S. government, or if you are listed on any U.S. government list of prohibited or restricted parties. Access to certain features may be further limited by jurisdiction, by verification status, or by applicable law.

4. Accounts and Access Levels

The Platform distinguishes between two forms of access.

A “Visitor” is any person who accesses publicly available areas of the Platform without an account. Visitors may read and browse public Content but may not publish Content, engage with Content, or use features reserved for account holders.

A “Member” is a person who has created an account and completed the verification required for the applicable level of participation. Membership is limited to verified individual humans. Contribution privileges, including publishing, engagement, and participation in the Reputation System described in Section 8, are reserved for Members and are granted progressively based on identity verification and demonstrated conduct, as further described in the Community Guidelines and the Moderation and Enforcement Policy.

We may offer accounts at different verification tiers, and the features available to you may depend on your tier, your verification status, your jurisdiction, and your standing on the Platform. We may decline to open an account, and we may add, modify, condition, or withdraw features, at our discretion and consistent with these Terms and the Policies.

5. Account Registration, Verification, and Security

You agree to provide accurate and complete information when you register and to keep that information current. Certain features require identity verification, which may be performed by FinancialPress or by third-party verification providers. You authorize us and our providers to collect, verify, and process the information reasonably necessary for that purpose, as described in the Privacy Policy. Verification confirms attributes such as that you are a real, unique human; it is not an endorsement of your Content and does not affect your Reputation Score.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us promptly at security@financialpress.com of any unauthorized use or suspected compromise. You may not share, sell, transfer, or license your account, and you may not maintain more than one account except with our prior written permission. Accounts, account attributes, and Reputation Scores are personal to you and are not transferable.

6. License to Use the Platform

Subject to your compliance with these Terms and the Policies, FinancialPress grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform for its intended purposes. This license permits ordinary use of the Services by Visitors and Members. It does not permit any use described in Section 7 or otherwise prohibited by the Acceptable Use Policy.

All rights not expressly granted are reserved. No provision of these Terms transfers ownership of the Platform, the Services, or any FinancialPress intellectual property to you.

7. Restrictions on Access and Automated Use

You may not access the Platform other than through the interfaces and application programming interfaces we provide, and only in the manner those interfaces are intended to be used. Without our prior written authorization, you may not scrape, crawl, harvest, index, cache other than through ordinary browser operation, or systematically collect Content or data from the Platform; use any robot, spider, or automated means to access, monitor, or copy the Platform; circumvent, disable, or interfere with rate limits, access controls, verification measures, or security features; or aggregate, republish, or resell Content or data in a manner that competes with or reconstructs the Services.

The Reputation Score, reputation signals, ranking outputs, explainability labels, and related derived data are proprietary to FinancialPress and are made available only for your ordinary use of the Platform. You may not extract, replicate, reverse engineer, or build a competing or derivative reputation, scoring, or ranking product from them. Additional prohibitions appear in the Acceptable Use Policy, which is incorporated by reference.

8. The Reputation System

The Platform includes a reputation system (the “Reputation System”) that assigns each participating Member a Reputation Score (“RS”) reflecting credibility earned through the platform community over time. Related features include explainability tools that describe, in general terms, why Content is surfaced or why standing has changed; identity verification; symbol-based and sector-based discussion surfaces; and professional contributor profiles.

You acknowledge and agree that the Reputation Score reflects earned trust rather than the popularity of Content, the volume of engagement, commercial activity, or whether any market view expressed in Content later proved correct. The Reputation Score is determined through the operation of the Reputation System and is not for sale. It cannot be purchased, transferred, or assigned, and it is not granted or set by staff as a favor, a promotion, or a matter of negotiation. FinancialPress records and weights credibility signals produced by verified participants; it does not adjudicate the truth of any market view.

We do not disclose the proprietary methods, weightings, formulas, or implementation details of the Reputation System. We describe its principles in these Terms, the Community Guidelines, and the Best Practices for Contributors, and we provide explainability at the level of general, human-readable factors. Reputation outcomes, including reductions in standing or visibility resulting from enforcement, are subject to the Moderation and Enforcement Policy and the Appeals Policy.

9. User Content

“User Content” means any content you submit, publish, or transmit through the Platform, including research, analysis, opinions, commentary, text, links, images, references, disclosures, and messages. You are solely responsible for your User Content and for the consequences of publishing it.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content, and our use of it in accordance with these Terms, does not infringe or violate the rights of any third party or any applicable law. You are responsible for making the disclosures required by the Content Policy and the Community Guidelines, including disclosure of positions and of any compensation or relationship that would be material to how your Content is understood.

You retain ownership of your User Content. You grant FinancialPress a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, adapt for technical purposes, publish, display, distribute, and otherwise use your User Content for the purpose of operating, providing, securing, improving, and promoting the Platform, and as otherwise permitted by the Privacy Policy. This license continues for User Content you have made public even after you remove your account, to the extent that Content has been shared with or referenced by others or retained in backup or as required by law, as described in Section 13. Where the Platform later offers content licensing or syndication features, any commercial license of your Content will be governed by separate terms and will require your specific, revocable consent; nothing in this Section authorizes the commercial licensing of your Content without that consent.

You may delete your User Content at any time, subject to the retention and lineage provisions of the Privacy Policy and the operational reality that Content already shared, quoted, or referenced by others may persist in those derivative locations.

10. Public Nature of Content and Communications

Most Content on the Platform is public by design. Content you publish, your public profile, and your contribution history may be visible to Visitors, Members, search engines, and the general public, and may be copied, quoted, or referenced by others. You should assume that anything you publish is public and permanent. Where the Platform offers private messaging or other non-public communications, those features are reserved for eligible Members, are subject to the Policies, and may be reviewed in connection with safety, security, and enforcement as described in the Moderation and Enforcement Policy and the Privacy Policy.

11. Acceptable Use, Community Standards, and Content Standards

Your use of the Platform is governed by the Acceptable Use Policy, the Community Guidelines, and the Content Policy, each incorporated by reference. Among other things, you may not engage in spam, deceptive or automated abuse, unauthorized scraping, fraud, harassment, impersonation, coordinated manipulation, market manipulation, the promotion of undisclosed paid content, or any unlawful activity. Financial content carries particular responsibilities, including relevance to the symbols or topics it addresses, honest sourcing, and disclosure of positions and compensation. The prohibited-conduct provisions of those Policies are incorporated into these Terms as if fully set forth here, and their violation is a violation of these Terms.

12. Reporting and Moderation

The Platform provides mechanisms for Users to report Content or conduct that may violate these Terms or the Policies. FinancialPress reviews reported material using a combination of automated, artificial-intelligence-assisted review and human review, as described in the Moderation and Enforcement Policy. We may, consistent with that Policy, label, reduce the visibility of, restrict, or remove Content; issue warnings; suspend or terminate accounts; and take other proportionate action.

We are not obligated to monitor Content, and our decision not to act in any instance does not waive our right to act in others. Reports do not guarantee any particular outcome. Reporting mechanisms may not be used to harass, brigade, or manipulate the moderation process, and abuse of those mechanisms is itself a violation of these Terms. Copyright complaints follow the separate process in Section 19 and in the Copyright and Intellectual Property Policy, which is available to any person without an account.

13. Suspension, Termination, and Effect of Termination

You may stop using the Platform and request deletion of your account at any time through the account settings or by contacting privacy@financialpress.com. We will handle account deletion, and the propagation of deletion instructions to our service providers, as described in the Privacy Policy.

We may suspend, restrict, or terminate your access to all or part of the Platform, with or without notice, if you violate these Terms or the Policies, if your conduct creates risk or legal exposure for FinancialPress or others, if verification cannot be completed or is withdrawn, or as necessary to comply with law or protect the integrity of the Platform. The gradations of enforcement, the circumstances warranting immediate action, and the availability of appeal are described in the Moderation and Enforcement Policy and the Appeals Policy.

On termination, the licenses granted to you in these Terms end, and you must stop using the Platform. Sections 2, 7, 8, 9 (as to the surviving license), 14 through 18, 20, and 21, and any provision that by its nature should survive, will survive termination. Termination does not entitle you to any refund except as expressly required by the terms of a paid service or by law.

14. No Investment, Legal, or Tax Advice; Assumption of Risk

Nothing on the Platform is investment, legal, tax, or accounting advice, and nothing on the Platform is an offer, solicitation, or recommendation to buy, sell, or hold any security or to engage in any transaction or strategy. Content reflects the views of the Users and third parties who create it, not of FinancialPress. Market data, quotes, and charts are provided by third-party sources and may be delayed, incomplete, or inaccurate, as described in the Platform Disclaimers.

You are solely responsible for evaluating the merits and risks of any decision you make, and you should consult a licensed professional before acting. Trading and investing involve substantial risk, including the risk of total loss. The Reputation Score and related signals describe credibility earned within the community; they are not a measure of the accuracy of any view, a prediction of any outcome, or an assurance of any result. Additional disclaimers appear in the Platform Disclaimers, which are incorporated by reference.

15. Third-Party Content, Services, and Links

The Platform surfaces Content created by Users and information supplied by third parties, and it may contain advertising, sponsored content, and links to third-party websites and services. FinancialPress does not create, endorse, verify, or assume responsibility for third-party Content, advertising, or destinations, and your dealings with third parties are solely between you and them. Advertising and sponsored material are governed by the Third-Party Advertising and Sponsored Content Disclosure. Third-party services you connect to the Platform are subject to their own terms and privacy practices.

16. Intellectual Property; Feedback

The Platform, including its software, design, text, graphics, trademarks, service marks, logos, and the Reputation System and its outputs, is owned by FinancialPress or its licensors and is protected by intellectual property and other laws. Except for the limited license in Section 6, these Terms grant you no right in FinancialPress intellectual property. You may not use the FinancialPress name, marks, or branding without our prior written consent.

If you send us suggestions, ideas, or other feedback about the Platform, you grant FinancialPress an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation or compensation to you.

17. Disclaimer of Warranties

To the fullest extent permitted by law, the Platform and all Content, data, and materials made available through it are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. FinancialPress disclaims all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.

FinancialPress does not warrant that the Platform will be uninterrupted, secure, timely, or error-free; that Content or market data will be accurate, complete, or reliable; that defects will be corrected; or that the Platform is free of harmful components. No advice or information obtained from FinancialPress or through the Platform creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

18. Limitation of Liability

To the fullest extent permitted by law, FinancialPress and its officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Platform, whether based in contract, tort, statute, or otherwise, and whether or not FinancialPress has been advised of the possibility of such damages.

To the fullest extent permitted by law, the total aggregate liability of FinancialPress arising out of or relating to the Platform or these Terms will not exceed the greater of one hundred U.S. dollars ($100) or the amount you paid to FinancialPress for the Services in the twelve months preceding the event giving rise to the claim. These limitations are a fundamental basis of the bargain between you and FinancialPress and apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

20. Dispute Resolution, Arbitration, and Class Action Waiver

Please read this Section carefully. It affects your legal rights, including your right to bring a claim in court and to have disputes decided by a jury.

Informal resolution.

Before commencing any formal proceeding, you agree to contact us at legal@financialpress.com and to attempt in good faith to resolve the dispute informally for at least sixty (60) days after notice. Many disputes can be resolved this way.

Binding arbitration.

Except for the excluded claims described below, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by final and binding arbitration administered by JAMS under its then-current rules, before a single arbitrator. The arbitrator will have exclusive authority to resolve threshold questions of arbitrability. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver.

You and FinancialPress agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.

Excluded claims and opt-out.

Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or Platform security. You may opt out of this arbitration agreement by sending written notice to legal@financialpress.com within thirty (30) days of first accepting these Terms. If any portion of this Section is found unenforceable, the remainder will be enforced, except that if the class action waiver is found unenforceable as to a particular claim, that claim will proceed in court.

21. Governing Law and Miscellaneous

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, and, where applicable, by the Federal Arbitration Act and other governing federal law. Subject to Section 20, the state and federal courts located in Delaware will have jurisdiction over any dispute not subject to arbitration.

We may update these Terms or the Policies from time to time. When we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a revised effective date or by notifying Members through the Platform. Your continued use of the Platform after an update takes effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

These Terms, together with the Policies, are the entire agreement between you and FinancialPress regarding the Platform and supersede any prior agreement on that subject. If any provision is held unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship. Notices to FinancialPress may be sent to the address below, and we may provide notice to you through the Platform or the contact information associated with your account.
